Terms of Access

This agreement between Eurasian Natural Resources PLC ("ENRC") and you sets out the terms on which you may use our website at www.enrc.com or such other address that we use from time to time (“Website”). 

Please read these terms carefully before you use the Website.  By using the Website, you indicate that you accept these terms and agree to follow them.  If you do not accept these terms, you may not use the Website.

When using the Website you must also accept and comply with ENRC’s Privacy Statement.

Provisions of this agreement also relate to any entity controlled by, controlling or under common control with ENRC from time to time as well as any joint venture companies in which ENRC directly or indirectly holds shares (together “ENRC Group”).

2. Terms of Use

Use of the Website is permitted on a temporary basis in accordance with this agreement and may be withdrawn, restricted or amended at any time without notice.   You are responsible to ensuring that all persons who access the Website through your internet connection are made aware of and comply with this Agreement.  The ENRC Group is not liable if the Website is not available for any reason.  

ENRC reserves the right to change these terms and/or the Privacy Statement at any time by posting any changes on the Website.  You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms may also be superseded by provisions or notices published elsewhere on the Website.  Any new terms and/or changes to the Privacy Statement will be effective immediately they are posted, and by continuing to use this Website you will have deemed to have accepted the new terms.

3. Intellectual Property

The Website and all material published on it (including but not limited to content, software, code, graphics or other material contained in or electronically distributed on this website) (“Content”) is owned by or licensed to members of the ENRC Group and is protected by copyright, trade marks, service marks, patents or other proprietary rights or laws.  Except as expressly provided in this agreement all rights in Content are reserved.  Unauthorised use of the Website and Content is strictly prohibited.

4. Copyright and Use of Material

You may download and print off one copy of the Content solely for your personal use and not for any commercial purpose whatsoever.  No other licence of the Content is given.  You are responsible for acting at all times in compliance with all applicable laws, including without limitation al intellectual property laws. In particular, notwithstanding the provisions of paragraph 3 above, you may not do any of the following without obtaining prior written permission from ENRC:

• Redistribute, modify, adapt or vary any of the Content.
• Remove any copyright or trade mark notices from any copies of the Content.
• Create a database in electronic or structured manual form by systematically downloading and storing all or any of the Content.

The status of any identified contributors as authors of Content must always be acknowledged.

ENRC does not give any warranty, condition, guarantee or representation, express or implied, relating to any information contained in the Content, the Website or available on any website to which it is linked. ENRC makes no representations or warranties concerning the accuracy, completeness or suitability for any purpose of any Content or such information, or that such information is up to date.  ENRC does not warrant that this Website, Content or any relevant server is free of computer viruses or other harmful applications.

6. Use of information

You agree that ENRC may collect, store and use information about you in accordance with the Privacy Statement.  You warrant that all data provided by you through the Website is accurate and that you have the right to authorise the ENRC Group to process such data in accordance with the Privacy Statement.

7. Viruses, hacking and other offences

You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which it is stored or any server, computer or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack.

8. Linking

You may link to our home page (but not to any other page), provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link from any website that is not owned by you.

Our Website must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice.

9.  Limitation of Liability

To the extent permitted by law, all members of the ENRC Group hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or equity.

No member of the ENRC Group shall be liable to you regardless of the form of action, whether in contract (including for deliberate repudiatory breach), tort (including negligence and breach of statutory duty), strict liability, or otherwise, for any loss or damage whatsoever including without limitation any loss of profit, business, contract, revenues, saving, data or for any special, indirect or consequential loss or damage. 

The Content is not intended to amount to advice on which reliance should be placed.  The ENRC Group disclaims all liability and responsibility arising from any reliance on any materials placed by a visitor to the Website.  Any decisions you make based on information contained in this Website are your sole responsibility. 

The ENRC Group is not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or to your downloading of any Content, or on any website linked to it.

Nothing in this agreement shall limit liability for personal injury or death caused by negligence, fraud or fraudulent misrepresentation or any other liability which cannot be limited under applicable law.

If you enter this Website, you agree that this paragraph 9 is reasonable and that it reflects the nature of this Website.

10. Indemnity

You agree to indemnify and keep all members of the ENRC Group fully indemnified against all liabilities, damages, claims, losses, costs and expenses, which they may incur to a third party or you as a result of your breach of this agreement or your use of the Website (except where caused by breach or negligence of a member of the ENRC Group).

11. Severance

If any term of this agreement is held by any competent authority to be invalid or unlawful or unenforceable, it shall not affect the enforceability of any of the remaining terms of this agreement.

12. Applicable law and Jurisdiction

Your use of this Website, and any Content or downloads from it, and the operation of this agreement shall be governed by and construed in accordance with the laws of England and Wales, and any dispute arising out of or in connection with your use of this Website shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
