Board Composition

The Board currently comprises, in addition to the Chairman, three Executive Directors and six non-executive Directors, five of whom are independent according to the definition in the Code.

The roles of Chairman and Chief Executive Officer are clearly separated and their responsibilities have been set out in writing.  

• The Board is chaired by Mr Mehmet Dalman, and he is responsible for leading the Board and ensuring it functions effectively.  
• Mr Felix Vulis is the Chief Executive Officer, and he is responsible for the operational management of the Group and the execution of the Group’s strategy.
